Learn how to advise a company from its inception through its sale to investors.
This course aims to equip students with the skills to draft some of the main contracts used in Corporate/Business Law, from the creation of a company, through stages of growth and development (NDA/MOU with investors, angel investment agreements, conversion of loans into equity, shareholders’/quotaholders’ agreements), all the way to the sale of the business to third parties (equity purchase and sale agreements).* The central idea is to enable students to learn how to advise a company (such as a startup) from its early operations, through investment rounds, up to a potential future sale to a buyer. The course includes explanations of the legal framework for each contract, the formation of work teams to draft them, and instructor review of the documents.
